Calling all SECNA members…

We kindly request your participation in our Annual General Meeting, which will be held online on Wednesday 14 October between 12:00–1:30 PM. We would like to have as many members there as possible to reflect on the past year and discuss future directions for SECNA.

Who can participate

All members are strongly encouraged to attend, participate, ask questions and give feedback.

Only industry (social enterprise) members can vote. Voting is required on a special resolution and to appoint directors. The primary contact for each industry member will be invited to attend and vote. If you cannot attend, we strongly encourage you to appoint a proxy (someone who attends and votes on your behalf). Individual members and Supporters will receive a seperate invitation.

What the AGM will cover

The agenda includes:

  • Strategic update

  • Operational update

  • Financial update

  • Election of directors

  • Special resolution

  • Any other business

Members are encouraged to ask questions and offer views on the future direction of SECNA as part of the AGM.

Director Nominations

There will be 4 vacancies for director roles at the 2026 AGM. Term: 3 years. Director Nominations closed 12PM, Wednesday 2 September 2026

  • No it won’t but minutes will be taken and circulated to members.

  • We put a call out for director nominations during August. Director nomination packs and forms were available on the SECNA website and we held director information sessions in late August and early September.

    This information was included in Member Update emails for three weeks prior to the closing date and was advertised on LinkedIn on 20 August.

    Director nominations closed at 12pm on 3 September. As advertised, any nominations received after this time and date were not considered. Nominations that did not meet the criteria (including identifying two industry members that supported their nomination) were determined to be invalid.

  • Social Enterprise (Industry) Members will vote in rounds to elect one Director at a time.

    Our Constitution allows for 3-9 directors in total. There are five continuing directors so there will be 4 vacancies at the 2026 AGM. There were nine eligble Director Nominations received.

  • Once the director nominees have shared during the general meeting, voting members will be moved into a separate virtual room where the voting polls will be distributed via the chat. Time will also be allocated in this room for members to ask questions before casting their votes.

    Voting on the special resolution will also happen at this time.

  • Under our constitution, a secret ballot is not required for either member or special resolutions. As the voting room will only include Industry members we will not need to capture any extra personal information (name, email etc.)

    To maintain privacy and transparency, completed voting forms are not shared with any nominated directors—whether successful or unsuccessful.

  • All members will be sent a calendar invitation. Please RSVP by accepting (YES) or declining (NO) to that calendar invitation.

    If you are a voting member and cannot attend please complete the PROXY FORM to assign your voting right to the SECNA chair or another person of your choosing.

    If you cannot find or do not remember receiving an inviation, please email us at hello@secna.org.au and we can resend the invite.

  • Log in to the member portal (click on ‘Member Login’ on the top right of our website) and you will see.

    • Social Enterprise = Industry member

    • Emerging Social Enterprise, Individual or Supporter = Associate member

    (While you’re in there, please check that all of your details are correct and up to date!).

  • As per SECNA’s Constitution, only Industry Members (i.e. social enterprises, as approved by the Board) have voting rights. This is because SECNA was established by social enterprises for social enterprises. Associate Members can still have a say and we encourage you to attend and get involved.
